Abstract
Reviews the range of issues involving the application of the Companies Act 2006 s.994 on unfairly prejudicial conduct that were addressed in Re AMT Coffee Ltd (Ch D) and Re Westshield Ltd (Ch D), including the nature of quasi-partnership relationships, questions of acquiescence, consent or delay, the payment of dividends, excessive director remuneration, and discounts involving the purchase of minority holdings.
